SHIONOGI Group Digital Governance Policy
1. Purpose
To sustainably deliver new value to society as "a healthcare provider", the SHIONOGI Group (hereinafter "SHIONOGI") is committed to transforming itself through innovation, effectively and securely leveraging its digital technology and the data it has collected and accumulated across all operations—from research and development to manufacturing and sales—while building upon its established IT framework.
To achieve the commitment, this policy outlines SHIONOGI's fundamental approach to Digital Transformation (DX) —the value creation and transformation using digital technology and data—and the key principles for ensuring reliability, transparency, and security to effectively address the risks inherent in these efforts.
2. Scope of Application
This policy applies to all executives and employees working for SHIONOGI (hereinafter "Personnel").
3. Definitions of Terms
The terms used in this policy are defined as follows:

Enterprise Architecture |
A methodology that visualizes and structures the organization by breaking it down into components such as business, data, applications, and technology, and designs the enterprise-wide current and target states to achieve overall optimization. |
Digital/IT Environment |
The term refers to a technical infrastructure composed of hardware, software, networks, and other components that support IT systems responsible for stable operations, as well as digital technologies that drive transformation and value creation. |
4. Responsibilities
4.1 Responsibilities of Personnel
In accordance with the purpose of this policy, all Personnel are responsible for actively pursuing value creation and innovation by leveraging digital technology and data. Additionally, they must address any identified risks and act in full compliance with all relevant laws, regulations, and internal governing documents.
4.2 Responsibilities of Management
To accelerate value creation and transformation by leveraging digital technology and data, the management commits to leading the strategic allocation of resources, fostering an enabling environment, and providing continuous guidance and support to the organizations.
4.3 Responsibilities of Business Organization
Each business organization, as the designated owner of its respective domain, is responsible for defining its strategic direction and making appropriate decisions, ensuring full alignment with SHIONOGI's strategies on the utilization of digital technology and data.
4.4 Responsibilities of DX Promotion Organization
SHIONOGI establishes a dedicated organization to promote its Digital Transformation (DX). Guided by the strategic directions from each business organization, the DX promotion organization formulates a DX vision and strategy, selects optimal technologies and solutions, and designs the Enterprise Architecture. The DX promotion organization also drives DX in collaboration with the business organizations by allocating resources for enterprise-wide optimization, and determining and executing implementations and operations. Concurrently, the organization is also responsible for establishing the SHIONOGI DX governance framework, conducting risk assessments, verifying compliance, and fulfilling essential advisory and control functions. Additionally, the organization emphasizes the importance of user adoption and ensures that the systems and solutions developed are user-friendly and meet the needs of Personnel. This includes providing adequate training and support to facilitate effective utilization and maximize the value derived from these digital initiatives.
5. Development and Execution of DX Vision and Strategy
SHIONOGI develops its DX Vision and executes the corresponding strategies for its realization. SHIONOGI communicates its DX vision and strategies to allocate resources, and to design and manage the Enterprise Architecture.
Furthermore, SHIONOGI is committed to acquiring and cultivating talent with critical digital expertise and fostering a corporate culture that encourages calculated risk-taking and embraces transformative change.
6. DX Governance and Management
To effectively execute its DX vision and strategy, SHIONOGI establishes and maintains a robust governance framework. This framework is designed to continuously drive operational efficiency, ensure appropriate risk and security management, and optimize investments and costs, encompassing processes for ongoing monitoring, periodic evaluation, and continual improvement.
To ensure the unified execution of its DX strategy, SHIONOGI balances areas of commonality (such as infrastructure, standards, and rules) with the need for local flexibility (such as legal compliance and business characteristics).
SHIONOGI is fully committed to complying with all applicable laws and regulations in the implementation of its DX vision and strategy, as well as in the utilization of all digital technology and data.
7. Establishment of Digital/IT Environment for DX
SHIONOGI strives to enhance operational capabilities and productivity by establishing a digital/IT environment to realize its DX vision and strategy, and by actively promoting the field-level adoption of digital technologies and data through training and awareness initiatives. To ensure the rapid and stable delivery of value-creating digital/IT environment, SHIONOGI also establishes optimized development and operational processes and a robust operational framework with integrated incident management, while also ensuring proper business partner management and providing dedicated user support.
