Compliance promotion structure

To further enhance the assurance of compliance of which SHIONOGI's broad definition does not mean only compliance with laws and regulations but also requires ethical and responsible behavior, we have established the SHIONOGI Group Code of Conduct. The Company engages in the following types of activities aimed at promoting outstanding compliance awareness and compliance performance among all directors and employees of the SHIONOGI Group.
The company promotes compliance through initiatives led by the Compliance Committee, which is chaired by the Representative Director. The Legal/Compliance Department functions as the bureau of the committee.

    The Compliance Committee builds a compliance promotion framework for the SHIONOGI Group, directs compliance initiatives, develops compliance activity programs, promotes them company-wide and monitor their implementation.

    We have also established “Kansho” (divisional) Compliance Committees to address potential business risks within their responsible areas. Each Kansho Compliance Committee determines its compliance initiatives and communicates them to applicable departments and group companies under its supervision to ensure thorough implementation. Also, it regularly reports on the status and outcome of the compliance activities within its oversight to the Compliance Committee.

    In line with compliance initiatives established by each Kansho Compliance Committee, all divisions and group companies under each Kansho run the Plan-Do-Check-Action (PDCA) cycle for compliance activities to ensure thorough compliance.

    Besides drafting compliance program proposals, the Bureau of the Compliance Committee provides support for promotion activities of the entire SHIONOGI Group.

    SHIONOGI has established an internal reporting system comprising an internal reporting desk in the Legal/Compliance Department, and an external reporting desk through outside legal counsel. The Company makes efforts to ensure this system is well-known and used and works to contribute to the early discovery as well as the prevention and amelioration of compliance violations utilizing the system.

    SHIONOGI has established an information management system based on its Information Security Policy and employs this system to manage information assets. Concerning the protection of personal information, the Company takes various measures to assure the appropriate usage of and to prevent leakage of personal information, including implementation of the Company's privacy policy, disclosing the scope of personal information usage objectives, establishing a dedicated consulting line to handle personal information related questions and complaints, and helping employees who handle personal information to participate in educational programs.

Conducting compliance awareness surveys

To identify and address compliance issues, we conduct regularly a compliance survey among directors and employees in SHIONOGI Group. The survey provides insight into the understanding and permeation of compliance. We aim to reflect the results in compliance activities within each organization, and strive to solve issues including corporate culture.

Compliance training and awareness-raising activities

At SHIONOGI, the Compliance Committee chairman expounds on the importance of compliance. We also provide rank-specific training for Corporate Officers, Senior Vice Presidents, Group Company Presidents, and Vice Presidents. In addition, we offer ongoing and periodic training for all employees on subjects such as information security, pharmaceutical safety, harassment, and bribery, while seeking to promote the cultivation of compliance awareness and understanding.
