(Amendment) Notice of Amendment to “Notice of Commencement of Tender Offer for Shares of TORII PHARMACEUTICAL CO., LTD. (Securities Code: 4551)” Due to Submission of Amendment to Tender Offer Statement

OSAKA, Japan, June 4, 2025 - At its Board of Directors meeting held on May 7, 2025, Shionogi & Co., Ltd. (Head Office: Osaka, Japan; Chief Executive Officer: Isao Teshirogi, Ph.D.; hereafter "the Tender Offeror") adopted a resolution to purchase shares of the common stock of TORII PHARMACEUTICAL CO., LTD. (listed on the Prime Market of Tokyo Stock Exchange, Inc. with securities code 4551; hereafter, the “Target Company”) (hereafter, the “Target Company Stock”) by way of a tender offer (hereafter, “Tender Offer”) under the Financial Instruments and Exchange Act (Act No. 25 of 1948, as amended thereafter; hereafter, the “Act”). Accordingly, the Tender Offer has been implemented since May 8, 2025.

 

Today, the Target Company released the document titled “Our Relationship with Patent Infringement Lawsuit regarding Drug Use Patent Pertaining to Oral Antipruritus Medication “REMITCH®” announced by Toray Industries, Inc. on May 27, 2025”. As a result, certain amendments now must be made to some of the information contained in the Tender Offer Statement submitted by the Tender Offeror on May 8, 2025 (including the amendments made by the Amendments to the Tender Offer Statement submitted on May 28, 2025). Pursuant to the provisions of Article 27-8, paragraph (2) of the Act, the Tender Offeror submitted “Amendment to Tender Offer Statement” to the Director-General of the Kanto Local Finance Bureau on the date of this release, in order to make the necessary amendments.

 

Accordingly, the Tender Offeror amends the “Notice of Commencement of Tender Offer for Shares of TORII PHARMACEUTICAL CO., LTD. (Securities Code: 4551)” dated May 7, 2025 (including the amendments made by the “(Amendment) Notice of Amendment to “Notice of Commencement of Tender Offer for Shares of TORII PHARMACEUTICAL CO., LTD. (Securities Code: 4551)” and Public Notice of Commencement of Tender Offer Due to Submission of Amendment to Tender Offer Statement” released on May 28, 2025), as detailed below.

 

Please note that these amendments do not change any of the “terms of purchase, etc.” as defined in Article 27-3, paragraph (2), item (i) of the Act. The parts amended are underlined.

Today, the Target Company released the document titled “Our Relationship with Patent Infringement Lawsuit regarding Drug Use Patent Pertaining to Oral Antipruritus Medication “REMITCH®” announced by Toray Industries, Inc. on May 27, 2025” (the “Matter”). For details, please see the release by the Target Company. According to the document titled “(Amendment) Partial amendments to the ‘Announcement of Expression of Opinion in Support of the Tender Offer for Our Shares by Shionogi & Co., Ltd. and Recommendation to Tender Shares in the Tender Offer’” released by the Target Company today, there is no change to the Target Company’s opinion on the Tender Offer for the following reasons: (i) since no judgment has become final and binding on the patent infringement lawsuit at this point in time, the timing and amount of revenue recognition by the Target Company remain uncertain; (ii) the Target Company has negotiated the Tender Offer with the Tender Offeror after undergoing various due diligence investigations by the Tender Offeror and after providing the Tender Offeror with an outline of the status of the patent infringement lawsuit and the agreement between the Target Company and Toray Industries, Inc.; and (iii) the Matter does not change the evaluation of the Tender Offer Price described in “(B) Target Company’s Decision-Making Process Leading to Its Decision to Support the Tender Offer and Reasons Therefor” under “(2) Background, Purpose and Decision-Making Process Leading to the Decision to Implement the Tender Offer, and the Management Policy After the Tender Offer” in “1.
